Non-disclosure Agreement: This non-disclosure and non-compete agreement is made between GTBK and you ("Recipient ") and will be effective on today's date ("Effective Date"). In order to protect the confidential and proprietary information you agree as follows: 1. GTBK Marketing, LLC and Charitable Concepts, LLC (collectively "GTBK") have developed a patent pending (application received) financial strategy regarding charitable giving and life insurance and annuity selling system called the Immediate Legacy(TM) Program. During this presentation GTBK will disclose to Recipient all aspects of the program including confidential and proprietary information of a nature sensitive to the program's existence. 2. Recipient represents that the general, public disclosure of GTBK’s Immediate Legacy(TM) Program and related proprietary information could cause irreparable injury to GTBK’s interests. 3. As used in this agreement, "Confidential Information" means any nonpublic information of GTBK, in oral, written, or graphic form, including without limitation that which relates to the financial planning concepts disclosed by GTBK, including but not limited to the Immediate Legacy? Program or any patents, patent applications, research, product plans, business plans, financial plan strategies, trademarks, service marks, or agreements with third parties, services, or information gained by Recipient as a result of the webinar, teleconferences, or discussions, which are all designed as confidential or proprietary by GTBK. 4. Recipient agrees that it will not use, disclose, or grant use of such Confidential Information except as expressly authorized by GTBK in writing. 5. Recipient shall promptly notify GTBK upon discovery of any unauthorized use or disclosure of GTBK’s Confidential Information. 6. Recipient agrees that any such disclosure without GTBK’s written permission shall be a breach of confidentiality by Recipient and Recipient will be directly liable to GTBK. 7. Recipient agrees that no Confidential Information obtained from GTBK shall be used to circumvent the business efforts of GTBK, to compete with GTBK, or in any manner or for any purpose which is detrimental or adverse or damaging to the interests of GTBK. 8. Recipient expressly acknowledges that any breach or failure to comply with this Agreement shall cause serious and substantial irreparable damage to GTBK. Accordingly, upon such breach or a threatened breach of this Agreement by Recipient, GTBK shall be entitled to and Recipient hereby stipulates to the entry of injunctive relief, including but not limited to a temporary restraining order and preliminary injunction, restraining Recipient from such breach or failure or any threatened breach or failure. Additionally, Adviser hereby stipulates that GTBK shall be entitled to monetary relief equal to the greater of $250,000 or 120% of the commissions earned by each unauthorized use of the Immediate Legacy? Financial Strategy. 9. By checking on the acknowledgment box below you represent and warrant that you will not disclose any information learned regarding the Immediate Legacy Program and that all confidential and proprietary information shall remain confidential and property of GTBK. 10. By checking on the acknowledgement box you are opting in, electing to receive e-mails and any other communication method from GTBK Marketing and/or its affiliates and partners. (Names and information will not be sold to unrelated third parties) 11. By checking on the acknowledgment box you are acknowledging GTBK reserves the right to withdraw the free offer at any time and for any reason. 12. Recipient agrees that under any condition the DVD will not be resold by any means including but not limited to online auctions. Recipient will also take reasonable means to ensure the DVD will not be sold by third party. 13. The DVD will not be reproduced, retransmitted, and will not be stored electronically and/or any other means.
